+ # Kiln Commercial License
2
+
3
+ Copyright (c) 2026 Marco Technology Consulting Inc. (“QuartzDev”)
4
+
5
+ In this document, **QuartzDev** means Marco Technology Consulting Inc.
6
+ **Software** means the Kiln software in this repository, including Hearth,
7
+ Relay, Bricks, Embers, and related components. QuartzDev and Kiln are brands
8
+ of that company.
9
+
10
+ This software is dual-licensed. You may use it under either:
11
+
12
+ 1. **[GNU Affero General Public License v3.0](./LICENSE)** — free and open
13
+ source, including for commercial use, if you comply with AGPL-3.0; or
14
+ 2. **this Kiln Commercial License** — a paid alternative that removes AGPL
15
+ copyleft obligations and expressly includes rights to create proprietary
16
+ **derivative works**.
17
+
18
+ This Commercial License is an alternative grant from QuartzDev. It is not a
19
+ modification of AGPL-3.0. Users who comply with AGPL-3.0 do not need a
20
+ Commercial License.
21
+
22
+ ## When you typically need a Commercial License
23
+
24
+ Consider purchasing a Commercial License if any of the following apply:
25
+
26
+ - you want to modify the software (or combine it with proprietary code in a
27
+ way that creates a derivative work) and keep those changes closed;
28
+ - you offer a **modified** version of the software as a hosted/network service
29
+ and do not want AGPL §13’s requirement to provide corresponding source to
30
+ users of that service;
31
+ - your organization’s policies disallow AGPL-3.0 in production; or
32
+ - you need contractual commercial terms (support, warranty, indemnity, or
33
+ OEM/redistribution rights) beyond what AGPL-3.0 provides.
34
+
35
+ Merely hosting or running an **unmodified** copy of the software over a
36
+ network does not, by itself, trigger AGPL §13’s network-source disclosure
37
+ obligation. Unmodified commercial hosting remains available under AGPL-3.0 if
38
+ you otherwise comply with that license.
39
+
40
+ Individuals, hobbyists, and organizations that are willing and able to
41
+ comply with AGPL-3.0 may continue under the open-source license at no cost.
42
+
43
+ ## Grant
44
+
45
+ Subject to payment of the applicable fees and compliance with this Commercial
46
+ License and any order form or agreement between you and QuartzDev, QuartzDev
47
+ grants you a non-exclusive, non-transferable (except as expressly permitted
48
+ below), worldwide license under QuartzDev’s copyright and patent rights in
49
+ the software to:
50
+
51
+ 1. **use** the software;
52
+ 2. **copy** the software;
53
+ 3. **modify** the software and **prepare derivative works** of the software;
54
+ 4. **distribute**, publicly perform, and publicly display the software and
55
+ your permitted derivative works;
56
+ 5. allow your employees and contractors to exercise those rights on your
57
+ behalf; and
58
+ 6. **sublicense** the software solely as incorporated in your permitted
59
+ derivative works, to your end users and channel partners, as described in
60
+ Sublicensing below.
61
+
62
+ Under this Commercial License you are **not** required to publish source code
63
+ for your modifications or derivative works, and AGPL-3.0 copyleft and
64
+ network-use disclosure obligations do not apply to your use under this
65
+ grant.
66
+
67
+ Unless your commercial agreement says otherwise, this grant covers the
68
+ software versions identified in that agreement (or, if none are listed, the
69
+ versions you receive from QuartzDev while the agreement is in effect),
70
+ including bug fixes and security updates QuartzDev provides for those
71
+ versions.
72
+
73
+ ## Sublicensing
74
+
75
+ This Commercial License is personal to you and may not be assigned or
76
+ transferred except as QuartzDev agrees in writing. However, to make
77
+ derivative-product distribution workable:
78
+
79
+ 1. **End users.** You may grant each end user of a permitted derivative work
80
+ a non-exclusive, non-transferable sublicense to use and copy the software
81
+ **only as incorporated in that derivative work**, for the end user’s own
82
+ internal purposes (or as otherwise needed to use the product you supply).
83
+ That sublicense does not allow the end user to extract, redistribute, or
84
+ further sublicense the standalone software except as your product’s
85
+ ordinary use requires.
86
+ 2. **Channel partners.** You may grant distributors, resellers, MSPs, and
87
+ similar channel partners a sublicense to market, distribute, and support
88
+ your permitted derivative works to end users, including the right to pass
89
+ through the end-user sublicense above, only to the extent stated in your
90
+ order form or commercial agreement with QuartzDev.
91
+ 3. **OEM / white-label redistribution of the unmodified software** as a
92
+ standalone competing product is **not** granted by this document and
93
+ requires express written terms in your order form or commercial agreement.
94
+
95
+ Any sublicense must be no broader than the rights granted to you here, must
96
+ prohibit removal of QuartzDev copyright notices from the embedded software,
97
+ and terminates automatically if your Commercial License terminates.
98
+
99
+ ## Derivative works
100
+
101
+ The Commercial License expressly includes the right to create, use, and
102
+ distribute **derivative works** based on the software, including modified
103
+ panels, Relays, Bricks, Embers, orchestration tooling, and integrated
104
+ products built from this codebase.
105
+
106
+ Unless your commercial agreement says otherwise:
107
+
108
+ - you may keep derivative works proprietary;
109
+ - you are not required to publish source code for your modifications; and
110
+ - QuartzDev retains all ownership of the original software and of any
111
+ QuartzDev-provided updates. You retain ownership of your original
112
+ contributions to derivative works, subject to QuartzDev’s ownership of the
113
+ underlying software.
114
+
115
+ ## Restrictions
116
+
117
+ Except as expressly permitted by this Commercial License or your commercial
118
+ agreement with QuartzDev, you may not:
119
+
120
+ - sublicense, sell, rent, or lease the unmodified software as a standalone
121
+ product competing with Kiln without QuartzDev’s prior written consent;
122
+ - remove or obscure copyright, license, or attribution notices; or
123
+ - use QuartzDev, Kiln, Hearth, Relay, Brick, Ember, or Marco Technology
124
+ Consulting trademarks except as needed to accurately describe the
125
+ software’s origin.
126
+
127
+ Third-party components bundled with the software remain under their own
128
+ licenses.
129
+
130
+ ## Fees and term
131
+
132
+ Commercial License fees, seat or deployment limits, support levels, and term
133
+ are set in your order form or agreement with QuartzDev. The license continues
134
+ for the term stated there, and ends if you fail to pay amounts due or
135
+ materially breach these terms and do not cure within the period stated in
136
+ your agreement (or 30 days if none is stated).
137
+
138
+ ## Warranty and liability
139
+
140
+ Unless your commercial agreement provides different warranty or indemnity
141
+ terms, the software is provided “as is,” and QuartzDev’s liability is limited
142
+ to the maximum extent permitted by law and to the fees you paid for the
143
+ Commercial License in the twelve months before the claim.
144
+
145
+ ## How to purchase
146
+
147
+ To purchase a Commercial License, email **contact@kiln.site**.
148
+
149
+ Please include:
150
+
151
+ - your organization name;
152
+ - intended use (self-hosted panel, managed hosting, derivative product, OEM);
153
+ - whether you need support, warranty, indemnity, or redistribution terms; and
154
+ - approximate scale (deployments, users, or tenants).
155
+
156
+ ## Relationship to AGPL-3.0
157
+
158
+ This Commercial License does not remove AGPL-3.0 from the public repository.
159
+ Anyone may still use the software under AGPL-3.0 if they comply with that
160
+ license. Choosing the Commercial License is optional and is for parties who
161
+ want different terms — especially proprietary derivative works and relief
162
+ from AGPL copyleft.
163
+
164
+ ## Contributor licensing
165
+
166
+ Outside contributions are accepted only under the [CLA](./CLA.md)
167
+ (based on the Apache Software Foundation CLA). The CLA lets QuartzDev
168
+ sublicense contributions under AGPL-3.0 and under this Commercial License, so
169
+ commercial customers receive community improvements without AGPL copyleft
170
+ attaching to those contributions under the commercial grant.
171
+
172
+ See [CONTRIBUTING.md](./CONTRIBUTING.md).
