+This software and its source code (the "Software") are licensed, not sold. By downloading, forking, modifying, or using the Software, you ("Licensee") agree to the following terms and conditions .
+
+This license is subject to the terms of any applicable (the "Agreement"):
+
+- Voiceflow SaaS Agreement or similar enterprise master services agreement
+- Terms of Service (ToS) (voiceflow.com/legal/terms)
+- Privacy Policy (voiceflow.com/legal/privacy)
+
+1. GRANT OF LICENSE
+   Subject to the restrictions in this Agreement, Voiceflow, Inc. ("Licensor") grants Licensee a limited, non-exclusive, non-transferable, revocable license to:
+
+- Download, fork, and modify the Software for internal use.
+- Use the Software solely as permitted under the applicable agreements referenced above.
+
+2. RESTRICTIONS
+   Licensee shall not, and shall require its authorized users not to, for any reason, directly or indirectly, whether or not over a network or on a hosted basis:
+
+- Publish, upload, or distribute the Software (or any modified version) on any public repository (including, but not limited to, GitHub, GitLab, or Bitbucket).
+- Redistribute, sublicense, sell, rent, lend, assign, transfer or otherwise make available the Software, modifications to the Software, or any copies thereof to any third party.
+- Use the Software in a manner that violates any applicable laws, this Agreement, or any referenced governing document.
+
+3. OWNERSHIP & COPYRIGHT
+   The Software remains the intellectual property of Licensor. Licensor shall have sole and exclusive ownership of all right, title and interest in and to all other Software, all copies and portions thereof, and all modifications, enhancements and updates to and derivative works made by Licensor, or on Licensor’s behalf, based upon the Software. No ownership rights are transferred under this Agreement. All modifications or derivative works remain subject to this license.

+4. DISCLAIMER OF WARRANTY
+   THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM THE USE OR MISUSE OF THE SOFTWARE.

+5. LIMITATION OF LIABILITY
+   UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER TORT (INCLUDING NEGLIGENCE), CONTRACT, OR OTHERWISE, SHALL LICENSOR, OR ANYONE WHO DISTRIBUTES THE SOFTWARE AS PERMITTED ABOVE, BE LIABLE TO LICENSEE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF SUCH PARTY SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM SUCH PARTY'S NEGLIGENCE TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.

+6. TERMINATION
+   This license terminates automatically if Licensee breaches any term of this Agreement or any referenced governing agreement. Upon termination, Licensee must cease all use of the Software and delete any copies in their possession.
+
+7. GOVERNING LAW
+   This Agreement shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles.

+8. NEW VERSIONS
+   Voiceflow, Inc. is the license steward. No one other than the license steward has the right to modify or publish new versions of this Agreement. Each version will be given a distinguishing version number. If the Software specifies that a certain numbered version of the License or any later version applies to it, Licensee has the option of following the terms and conditions either of that numbered version or of any later version published by Voiceflow, Inc. If the Software does not specify a version number of the License, Licensee may choose any version ever published by Voiceflow, Inc.
