+# SDK TERMS
+
+THE PARTY ("YOU") ACCESSING THE ORANGE LOGIC SOFTWARE DEVELOPMENT KIT ("SDK") LIBRARY AGREES TO THE FOLLOWING TERMS:
+
+1. In the event Orange Logic provides You with access to an SDK which includes its related API, then Orange Logic grants You a non-exclusive, worldwide, non-transferable, limited license to access/download such SDK and documentation only as necessary to develop, test and support an integration of the Orange Logic platform to Your applications using the SDK. In connection with the foregoing, but subject to Section 2 herein, You are permitted to modify the SDK, embed the SDK into internal tools, build on-prem, desktop, mobile, or internal web applications that access Orange Logic’s proprietary platform, and share those applications solely for the benefit of your business operations. The duration of such license shall correlate to the duration of the license to use Orange Logic's platform under the relevant subscription agreement with Orange Logic ("Agreement") or as otherwise terminated at any time by Orange Logic.

+2. You may not sell, rent, lease, sublicense, redistribute, or syndicate access to the SDK. Further, You will not: (A) access the SDK or documentation in violation of any law or regulation; (B) access the SDK in any manner that (i) compromises, breaks or circumvents any of Orange Logic's technical processes or security measures associated with its proprietary services or products, (ii) poses a security vulnerability to Your or users of Orange Logic's services or products, or (iii) tests the vulnerability of Orange Logic’s systems or networks; (C) access the SDK or documentation in order to replicate or compete with Orange Logic's proprietary services or products; (D) market or distribute an application containing the SDK to third parties except as necessary to effectuate an internal business purpose; (E) offer a service containing the SDK to third parties; (F) attempt to reverse engineer or otherwise derive source code, trade secrets, or know-how of the SDK or proprietary services or products; or (G) attempt to use the SDK in a manner that exceeds rate limits or other limitations imposed on Orange Logic's proprietary services or products. The SDK, in whole or in part, in all forms, including any modifications thereto, is the sole and exclusive property of Orange Logic as well as any code developed through use of the SDK.

+3. You agree and acknowledge that Orange Logic has no support or maintenance obligations for any code developed using the SDK, and Orange Logic disclaims any outputs or results created by any such code. The parties may contract separately for Orange Logic to provide custom support services as professional services deliverable.

+4. ORANGE LOGIC PROVIDES THE SDK “AS IS," “WITH ALL FAULTS" AND “AS AVAILABLE." YOU EXPRESSLY AGREE THAT ACCESS TO THE SDK IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORANGE LOGIC MAKES NO REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SDK AND DISCLAIMS ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED, INCLUDING WITHOUT LIMITATION (1) WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS AND NON-INFRINGEMENT, (2) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, (3) WARRANTIES OR CONDITIONS THAT ACCESS TO THE SDK WILL BE UNINTERRUPTED OR ERROR-FREE, OR (4) THAT THE SDK WILL INTEGRATE OR OPERATE WITH ANY SOFTWARE THAT YOU DEVELOP. ORANGE LOGIC DOES NOT WARRANT THAT THE SDK, ITS SERVERS OR E-MAILS SENT ARE ERROR-FREE, WILL OPERATE WITHOUT INTERRUPTIONS OR DOWNTIME, OR ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

+5. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORANGE LOGIC, ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SDK, ANY APPLICATIONS DEVELOPED USING THE SDK, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ORANGE LOGIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORANGE LOGIC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SDK OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND SHALL SURVIVE TERMINATION OF THESE TERMS.
