+"Licensee") and Oatnil ("Licensor") for the UnderControl software product,

+                              LICENSE TIERS

+1. PERSONAL TIER (Free)
+
+   Grants Licensee a non-exclusive, non-transferable, limited license to:
+   - Use the Software for personal, non-commercial purposes only
+   - Access features designated as "Personal Tier" functionality
+   - Install the Software on devices owned by the Licensee
+
+   Personal Tier users SHALL NOT:
+   - Use the Software for any commercial or business purposes
+   - Access features beyond the Personal Tier designation
+   - Share accounts or credentials with others
+
+2. COMMERCIAL/PREMIUM TIERS (Paid Subscription Required)
+
+   Access to features beyond the Personal Tier requires a valid paid
+   subscription. Commercial Tier grants additional rights to:
+   - Use the Software for business and commercial purposes
+   - Access premium features as defined by the subscription level
+   - Receive priority support (if included in subscription)
+

+                           LICENSE RESTRICTIONS

+ALL LICENSEES SHALL NOT:
+
+a) Copy, distribute, rent, lease, sublicense, or transfer the Software or any
+   portion thereof to any third party

+b) Reverse engineer, decompile, disassemble, or otherwise attempt to derive
+   the source code of the Software
+
+c) Remove, alter, or obscure any copyright, trademark, or other proprietary
+   notices from the Software
+
+d) Use the Software for competitive analysis, benchmarking, or to develop
+   competing products or services
+
+e) Circumvent, disable, or interfere with any license validation, tier
+   restrictions, or security features
+
+f) Use the Software beyond the scope of the license tier purchased or granted
+
+g) Publicly disclose any performance benchmarks or analysis of the Software
+   without prior written consent
+
+h) Modify, adapt, translate, or create derivative works based on the Software
+
+i) Redistribute the compiled application, installers, or any packaged
+   distributions of the Software
+
+j) Share, publish, or make available any license keys, authentication tokens,
+   or access credentials
+
+k) Attempt to gain unauthorized access to features, tiers, or functionality
+   beyond your licensed tier
+
+l) Use automated tools or scripts to access the Software in ways not intended
+   by the Licensor

+                        INTELLECTUAL PROPERTY RIGHTS

+The Software is licensed, not sold. The Software is protected by copyright
+laws and international copyright treaties, as well as other intellectual
+property laws and treaties. Licensor retains all rights, title, and interest
+in and to the Software, including all copyrights, patents, trade secrets,
+trademarks, and other intellectual property rights.

+All rights not expressly granted in this Agreement are reserved by Licensor.

+                            SOURCE CODE ACCESS

+This license does NOT grant any rights to:
+- Access, view, or obtain the source code of the Software
+- Modify the source code in any way
+- Create derivative works based on the source code

+The Software is provided ONLY in compiled, packaged form.

+                            TERM AND TERMINATION

+This license is effective until terminated. This license will terminate
+automatically without notice from Licensor if you fail to comply with any
+provision of this Agreement.

+Upon termination, Licensee must:
+a) Immediately cease all use of the Software
+b) Uninstall and delete all copies of the Software
+c) Destroy any backups or copies in Licensee's possession
+
+Licensor reserves the right to remotely disable access to the Software upon
+termination or detection of license violations.

+                              DATA AND PRIVACY

+
+a) The Software may collect usage data, analytics, and telemetry to improve
+   the service and enforce license compliance.
+
+b) Your use of the Software is subject to our Privacy Policy, available at
+   our official website.

+c) You are responsible for maintaining the confidentiality of your account
+   credentials.
+
+d) Licensor may use anonymized, aggregated data for service improvement.
+

+                           WARRANTY DISCLAIMER

+THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS

+                          LIMITATION OF LIABILITY

+IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT,
+OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES
+FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
+INFORMATION, LOSS OF DATA, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE
+USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED
+OF THE POSSIBILITY OF SUCH DAMAGES.

+IN NO CASE SHALL LICENSOR'S TOTAL LIABILITY TO LICENSEE FOR ALL DAMAGES,
+LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY LICENSEE FOR THE
+SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

+                        UPDATES AND MODIFICATIONS

+a) Licensor reserves the right to modify, update, or discontinue the Software
+   at any time without prior notice.

+b) Licensor may change features available in each tier with reasonable notice.

+c) This license agreement may be updated; continued use of the Software after
+   changes constitutes acceptance of the modified terms.

+d) Updates and upgrades are subject to the terms of this Agreement.

+                              GOVERNING LAW

+This Agreement shall be governed by and construed in accordance with
+applicable laws, without regard to conflicts of law principles.

+concerning the Software and supersedes all prior or contemporaneous oral or

+If any provision of this Agreement is held to be unenforceable, that provision
+shall be modified to the minimum extent necessary to make it enforceable, or
