+# SOFTWARE LICENSE AND SUPPORT AGREEMENT
+
+**PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THIS SERVICE.**
+
+BY USING THE SERVICE, CLICKING AGREE, OR OTHER FORM OF ASSENT, YOU ARE AGREEING TO BE BOUND BY THIS AGREEMENT. IF YOU ARE AGREEING TO THIS AGREEMENT ON BEHALF OF OR FOR THE BENEFIT OF YOUR EMPLOYER OR A THIRD PARTY, THEN YOU REPRESENT AND WARRANT THAT YOU HAVE THE NECESSARY AUTHORITY TO AGREE TO THIS AGREEMENT ON THEIR BEHALF.

+This agreement is between **Form.io LLC**, a Texas limited liability company (“Form.io”), and the Customer agreeing to these terms (“Customer”). The Form.io software (as a deployed solution in Customer’s environment, or as code included or embedded in the Customer Applications), including modifications and enhancements made thereto, and documentation and license keys provided to Customer (“Software”) are licensed and are not sold.

+## 1. Scope
+
+This agreement describes the licensing of the Software and Support provided to Customer under an order.
+

+## 2. License
+
+**a. Grant.** Subject to the other terms of this agreement, Form.io grants Customer and its Affiliates, under an order, for the duration specified in the order, a term-based (subscription), non-exclusive, non-transferable license up to the license capacity purchased to integrate the Software into Customer’s and its Affiliate’s proprietary applications (“Customer Applications”), for both Customer’s and its Affiliate’s internal and commercial use, including but not limited to marketing and selling Customer Applications directly and indirectly to Customer’s and its Affiliate’s clients. Customer must require its distributors, clients, and end user customers to agree to terms at least as protective as this agreement. Customer is responsible for compliance by its Affiliates. Affiliate means any company controlled by or under common control with Customer, directly or indirectly, with an ownership interest of at least 50%.

+**b. Open Source Software Licenses.**
+1. **Third Party Open Source Components.** The Software contains embedded open source components, which are provided as part of the Software and may include additional license terms in the technical documentation (“Open Source License Terms”). Nothing in this agreement imposes further restrictions on Customer’s use of such open source components as stand-alone components.
+2. **Form.io Owned Open Source Components (Form.io OSS).**
+   - (A) Form.io OSS is licensed as part of the Software under this agreement.
+   - (B) Customer may use Form.io OSS separately from the Software (but not the non-OSS components separately).
+   - (C) Licensing the Software under this agreement does not obligate Customer to disclose Form.io OSS or Customer Applications in source code form.

+## 3. Warranty, Remedy, and Disclaimer
+
+**a. Software Warranty.** For new license purchases, Form.io warrants that the Software will perform substantially in accordance with its product documentation for 30 days from the initial order date. This warranty excludes problems caused by unlicensed software, misuse, or noncompliance with documentation. The warranty covers problems reported during the warranty period.
+
+**b. Exclusive Remedy.** Form.io will use commercially reasonable efforts to remedy warranty claims or replace the Software, or if unable, refund the license fee. This is the Customer’s exclusive remedy.
+
+**c. Virus Warranty.** Form.io warrants it uses reasonable efforts to scan and remove malware from the Software. “Malware” includes viruses, worms, Trojan Horses, spyware, etc.
+
+**d. Additional Warranty.** Form.io warrants Support, security measures, and Software features will not materially degrade during any paid term.
+
+**e. Form.io Open Source Warranty.** Form.io warrants the Software contains no open source component requiring disclosure, derivative licensing, or free redistribution of the entire Software.
+
+**f. Customer Warranty.** Customer warrants it will not integrate the Software with software that could impose such open source obligations.
+
+**g. Disclaimer.** Except as stated, Form.io disclaims all other warranties. Software may not be error-free and use may be interrupted. Form.io has no liability for applications built using the Software.

+## 4. Payment
+
+Unless otherwise provided, Customer will pay all fees within 30 days of invoice, plus applicable taxes.

+## 5. Mutual Confidentiality
+
+**a. Definition.** Confidential Information includes non-public information designated as confidential or reasonably understood as such, including Software and pricing.
+
+**b. Protection.** Recipient must protect Confidential Information with at least reasonable care and not use it outside this agreement.
+
+**c. Exclusions.** Confidential Information excludes publicly known information, information known before disclosure, information from a third party without breach, or independently developed information.

+## 6. Property
+
+**a. Reservation of Rights.** Software, documentation, and related technologies remain the proprietary property of Form.io and its licensors. Customer may not remove identification or notices.
+
+**b. Restrictions.** Customer may not transfer, sublicense, rent, create derivative works, reverse engineer, compete, operate outside documentation, use components maliciously, or use non-OSS components separately.

+## 7. Term and Termination
+
+**a. Term.** Agreement expires at the end of the license period in the order.
+
+**b. Termination for Breach.** Either party may terminate after a 30-day written notice if breach remains uncured.
+
+**c. Return of Property.** Upon termination, Customer must discontinue use, uninstall, and destroy or return Software and copies within 5 days.

+## 8. Liability Limit
+
+**a. Indirect Damages.** Form.io is not liable for indirect, special, incidental, or consequential damages.
+
+**b. Total Limit.** Except for indemnity obligations, liability is limited to amounts paid in the prior 12 months.

+## 9. Annual Support
+
+Support is included with license purchase and provided under current policies at [www.form.io/support](http://www.form.io/support).

+## 10. Indemnities
+
+**a. Form.io Indemnity.** Form.io will defend or settle infringement claims under certain conditions and pay costs, damages, and settlements.
+
+**b. Customer Indemnity.** Customer will defend and indemnify Form.io for claims related to Customer Applications.
+

+
+## 11. Governing Law and Forum
+
+This agreement is governed by Texas law. Disputes must be resolved in Dallas County courts. The prevailing party recovers attorney fees.
+

+## 12. Other Terms
+
+**a. Entire Agreement.** This agreement and orders constitute the entire agreement. Changes must be made via Form.io’s online process.
+
+**b. No Assignment.** Neither party may assign without consent, except in a merger or sale.
+
+**c. Independent Contractors.**
+
+**d. Enforceability and Force Majeure.**
+
+**e. Money Damages Insufficient.**
+
+**f. No Additional Terms.**
+
+**g. Order of Precedence.**
+
+**h. Survival of Terms.**
+
+**i. Export Compliance.**
+
+**j. U.S. Government Restricted Rights.**
+
+**k. Feedback.** Customer grants Form.io a royalty-free license to use feedback.
