This BackendX MCP Server License Agreement (the "Agreement") governs your
|
|
6
|
+
use of the "@backendx/mcp" software package, including its source files,
|
|
7
|
+
compiled or bundled files, and accompanying documentation (the "Software").
|
|
8
|
+
By installing, running, or otherwise using the Software you agree to be
|
|
9
|
+
bound by this Agreement. If you do not agree, do not install or use the
|
|
10
|
+
Software.
|
|

|
|

1. OWNERSHIP
|
|

|
+
|
|

|
+
The Software is proprietary to BackendX Inc. ("BackendX") and is licensed,
|
|
15
|
+
not sold. BackendX and its licensors retain all right, title, and interest
|
|
16
|
+
in and to the Software, including all intellectual property rights. The
|
|
17
|
+
Software is NOT open-source software and no open-source license applies to
|
|
18
|
+
it. Neither the publication of the Software on a public package registry
|
|
19
|
+
nor the fact that its files are human-readable grants you any right beyond
|
|
20
|
+
those expressly stated in this Agreement.
|
|

|

2. LICENSE GRANT
|
|

|
|

Subject to your compliance with this Agreement, BackendX grants you a
|
|
25
|
+
limited, revocable, non-exclusive, non-transferable, non-sublicensable
|
|

|
+
license to install and run unmodified copies of the Software, solely for
|
|
27
|
+
the purpose of accessing and using the BackendX services available at
|
|
28
|
+
https://www.backendx.ai (the "Services") through your own BackendX account
|
|
29
|
+
and in accordance with the BackendX Terms of Service
|
|
30
|
+
(https://www.backendx.ai/landing/en/terms).
|
|

|
|

3. RESTRICTIONS
|
|

|
|

+
Except as expressly permitted by this Agreement, or to the extent
|
|

|
+
applicable law prohibits such restriction, you may not:
|
|

|
+
|
|

|
+
(a) modify, adapt, translate, or create derivative works of the
|
|
38
|
+
Software;
|
|
39
|
+
(b) redistribute, publish, sell, rent, lease, lend, sublicense, or
|
|
40
|
+
otherwise make the Software available to any third party, in
|
|
41
|
+
original or modified form, including by republishing it under
|
|
42
|
+
another package name or on another registry;
|
|
43
|
+
(c) use the Software, or any part or output of it, to build, train, or
|
|
44
|
+
operate a product or service that competes with or substitutes for
|
|
45
|
+
the Services, or otherwise use it for any commercial purpose other
|
|
46
|
+
than using the Services;
|
|
47
|
+
(d) use the Software to access the Services other than through the
|
|
48
|
+
interfaces the Software exposes, or to circumvent or interfere with
|
|
49
|
+
any authentication, authorization, version, usage, or billing
|
|
50
|
+
control of the Services; or
|
|

|
+
(e) remove, alter, or obscure any copyright, trademark, or other
|
|
52
|
+
proprietary notice contained in the Software.
|
|

|
|

Inspecting the Software's files to understand how it behaves in your
|
|
55
|
+
environment is permitted. That permission does not extend to reproducing
|
|
56
|
+
the Software's functionality in another product or to doing anything
|
|
57
|
+
prohibited by this Section 3.
|
|

|
|

4. NETWORK COMMUNICATION AND REMOTE VERSION CONTROL
|
|

|
|

The Software communicates with BackendX servers over the internet. In
|
|
62
|
+
particular:
|
|

|
+
|
|

+
(a) Each time the Software starts, it sends its own version number to a
|
|
65
|
+
BackendX server (by default https://www.backendx.ai/api/mcp/version-check)
|
|
66
|
+
and receives a compatibility decision.
|
|

|
+
(b) BackendX may require updates to the Software to maintain
|
|
68
|
+
compatibility, security, or compliance of the Services, and may
|
|
69
|
+
designate a version of the Software as no longer supported. If the
|
|
70
|
+
server reports that an update is required, or if the version check
|
|
71
|
+
cannot be completed (for example because of a network failure or a
|
|
72
|
+
BackendX server error), the Software will refuse to execute any of
|
|
73
|
+
its tools until a supported version is installed and the check
|
|
74
|
+
succeeds. This behavior is intentional and protects the integrity,
|
|
75
|
+
security, and billing policies of the Services. Unsupported versions
|
|
76
|
+
of the Software may therefore cease to function. Where reasonably
|
|
77
|
+
practicable, BackendX will give notice of such changes through the
|
|
78
|
+
Software, its documentation, or other appropriate channels.
|
|

|
+
(c) You are responsible for keeping the Software up to date. Running the
|
|
80
|
+
Software via "npx @backendx/mcp" normally picks up the latest
|
|
81
|
+
published version automatically.
|
|

5. USAGE ANALYTICS
|
|

+
|
|

(a) The Software collects limited usage analytics and transmits them to
|
|

|
+
Google Analytics 4, a service operated by Google LLC, using the
|
|

|
+
Google Analytics Measurement Protocol. Analytics are ENABLED BY
|
|

|
+
DEFAULT in the published package.
|
|

|
+
(b) Data collected: the name of each tool invoked; whether the invocation
|
|
90
|
+
succeeded or failed and, on failure, an error code; the Software
|
|
91
|
+
version; a random client identifier generated per process; and a
|
|
92
|
+
session identifier.
|
|

(c) Data NOT collected: your email address, whether in plaintext or as a
|
|
94
|
+
hash or other derived value, authentication tokens,
|
|
95
|
+
environment-variable values, project contents, prompts, generated
|
|

|
+
code, or the arguments and results of tool invocations.
|
|

+
(d) Opt-out: set the environment variable DO_NOT_TRACK=1 or
|
|

|
+
BACKENDX_TELEMETRY_DISABLED=1 before starting the Software. When
|
|

|
+
either is set, no analytics are transmitted. Disabling analytics does
|
|

|
+
not affect the Software's functionality.
|
|

(e) BackendX's processing of personal data in connection with the
|
|

|
+
Services, including the analytics described in this Section 5, is
|
|

described in the BackendX Privacy Policy available at

6. ACTIONS PERFORMED THROUGH THE SOFTWARE; YOUR RESPONSIBILITY
|
|

The Software is designed to be invoked by AI agents and other automated
|
|

|
+
clients. Tools exposed by the Software can create, modify, deploy, stop,
|
|
111
|
+
and PERMANENTLY DELETE resources in your BackendX account, and can INCUR
|
|

|
+
CHARGES, including purchasing seats, documents, and change runs, changing
|
|
113
|
+
subscription plans, and settling outstanding amounts when a project is
|
|
114
|
+
deleted. An action initiated through the Software using credentials
|
|
115
|
+
validly associated with your BackendX account will be treated as an
|
|
116
|
+
action authorized by you, whether it was initiated by you directly, by an
|
|
117
|
+
AI agent acting on your instructions, or by an AI agent acting
|
|
118
|
+
erroneously or without your specific instruction, except to the extent
|
|
119
|
+
the action results from a defect in the Software or the Services, a
|
|
120
|
+
security failure of BackendX systems, unauthorized access not caused by
|
|
121
|
+
you, or another circumstance attributable to BackendX. You are
|
|

|
+
responsible for configuring, instructing, and supervising any AI agent to
|
|

|
+
which you grant access to the Software, and for the changes, data loss,
|
|

|
+
and charges that result from actions so authorized.
|
|

7. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS

BACKENDX DOES NOT WARRANT THAT ANY AI AGENT WILL USE THE SOFTWARE

CORRECTLY OR AS YOU INTEND. YOU ASSUME THE ENTIRE RISK ARISING FROM YOUR

USE OF THE SOFTWARE.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL

LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,

EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE,

GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE

SOFTWARE OR THIS AGREEMENT, INCLUDING DAMAGES RESULTING FROM ACTIONS TAKEN

BY AI AGENTS THROUGH THE SOFTWARE OR FROM THE SOFTWARE BECOMING

INOPERABLE UNDER SECTION 4, EVEN IF BACKENDX HAS BEEN ADVISED OF THE

POSSIBILITY OF SUCH DAMAGES. BACKENDX'S TOTAL AGGREGATE LIABILITY ARISING

OUT OF OR RELATING TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF (i) ONE

HUNDRED US DOLLARS (USD 100) OR (ii) THE FEES YOU PAID TO BACKENDX FOR THE

SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT

GIVING RISE TO THE CLAIM. NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS

LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR ANY LIABILITY

THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING

MANDATORY CONSUMER-PROTECTION LAW.

9. THIRD-PARTY SOFTWARE

The Software depends on third-party open-source packages (for example,

"@modelcontextprotocol/sdk" and "zod") that are installed separately by
|
|

+
your package manager. Those packages are governed by their own license
|
|

|
+
terms and are neither included in nor licensed under this Agreement.
|
|

10. TERM AND TERMINATION
|
|

This Agreement is effective until terminated. It terminates automatically
|
|

|

and without notice if you breach any of its terms. BackendX may also end
|
|

your license to a given version of the Software by discontinuing support
|
|

for that version under Section 4. Upon termination you must stop using
|
|
169
|
+
the Software and delete all copies in your possession. Sections 1, 3, and
|
|
170
|
+
6 through 12 survive termination.
|
|

11. GOVERNING LAW AND DISPUTES
|
|

This Agreement is governed by the laws of the Republic of Korea, without
|
|

|
+
regard to its conflict-of-laws rules. Any dispute arising out of or
|
|

+
relating to this Agreement will be subject to the exclusive jurisdiction
|
|

+
of the Seoul Central District Court as the court of first instance. If you
|
|
178
|
+
are a consumer, nothing in this Section deprives you of the protection of
|
|
179
|
+
mandatory consumer-protection law, or of the right to bring proceedings
|
|
180
|
+
before the courts, of the jurisdiction in which you habitually reside.
|
|

12. GENERAL

This Agreement, together with the BackendX Terms of Service and Privacy
|
|

+
Policy, is the entire agreement between you and BackendX regarding the
|
|

Software. In the event of a conflict concerning your use of the Services,
|
|

+
the BackendX Terms of Service control. If any provision of this Agreement
|
|
188
|
+
is held unenforceable, the remaining provisions remain in effect. A
|
|
189
|
+
failure by BackendX to enforce any provision is not a waiver of it.
|
|

|
+
Each version of the Software is governed by the license terms distributed
|
|
191
|
+
with that version. BackendX may distribute updated terms with future
|
|
192
|
+
versions of the Software; updated terms do not retroactively modify the
|
|
193
|
+
terms applicable to an earlier version you have already obtained.
