+ # AWiki CLI S2 Dual-Licensing Policy
2
+
3
+ Version 1.0
4
+ Effective date: August 6, 2026
5
+ Software: AWiki CLI S2 (`awiki-cli-rs2`)
6
+ Licensor: **Hangzhou Vector Consensus Technology Co., Ltd.**
7
+ Commercial licensing contact: **chgaowei@gmail.com**
8
+
9
+ > This document explains the licensing policy. It is not itself an AWiki
10
+ > Commercial License and does not grant proprietary or closed-source rights.
11
+ > A user choosing the commercial path must register or apply and accept the
12
+ > applicable Commercial License Agreement, even when the license fee is zero.
13
+
14
+ ## 1. Dual-licensing model
15
+
16
+ AWiki CLI S2 is offered under two alternative licensing paths:
17
+
18
+ 1. GNU Affero General Public License, version 3 only (`AGPL-3.0-only`); or
19
+ 2. a separate AWiki Commercial License.
20
+
21
+ Anyone who has not obtained an AWiki Commercial License may use the software
22
+ only under AGPLv3. A user may not combine selected permissions from one path
23
+ with selected permissions from the other to avoid either license's obligations.
24
+
25
+ ## 2. AGPLv3 path
26
+
27
+ Any person or organization may use AWiki CLI S2 under AGPLv3 without a license
28
+ fee, regardless of revenue, commercial purpose, user count, or Agent Account
29
+ count. This path has no usage or Agent Account limit, permits commercial use,
30
+ modification, and distribution, and provides no exemption from AGPLv3.
31
+
32
+ Among other requirements, Section 13 of AGPLv3 requires an operator that
33
+ modifies the Program and lets users interact with it remotely through a
34
+ computer network to offer those users an opportunity to receive the
35
+ Corresponding Source. Distribution may trigger additional source-code,
36
+ notice, and downstream licensing requirements. The complete and controlling
37
+ terms are in [`LICENSE`](LICENSE).
38
+
39
+ The 100,000-Agent-Account threshold never limits AGPLv3 use. It determines
40
+ only whether the base fee for the commercial path is zero or paid.
41
+
42
+ ## 3. AWiki Commercial License
43
+
44
+ A user that does not want to comply with the AGPLv3 obligations applicable to
45
+ its use must obtain an AWiki Commercial License before making that use.
46
+ Subject to its Commercial License Agreement, this path may permit private
47
+ modifications, closed-source integration and network services, proprietary
48
+ distribution, and internal or customer-facing commercial systems.
49
+
50
+ Commercial licenses are either Free Commercial Licenses or Paid Commercial
51
+ Licenses.
52
+
53
+ ## 4. Free Commercial License
54
+
55
+ A licensee whose total number of enabled Agent Accounts does not exceed
56
+ 100,000 may apply for a Free Commercial License. Its base license fee is zero.
57
+ Subject to the Commercial License Agreement, it may permit proprietary use,
58
+ modification, integration, deployment, and distribution, including OEM,
59
+ white-label, and customer-delivery use.
60
+
61
+ The licensee must register or apply, accept the Commercial License Agreement,
62
+ follow the counting rules, comply with intellectual-property and trademark
63
+ requirements, not circumvent license management, and transition under
64
+ Section 9 after exceeding the threshold. A license may be issued through
65
+ email confirmation, an electronic agreement, an order, or a written agreement.
66
+ An applicant should email the commercial licensing contact with its legal
67
+ name, contact person, intended use, and expected Agent Account count. Applying
68
+ does not itself grant a license; the license takes effect only when the
69
+ Licensor confirms the grant in writing or the parties accept or sign the
70
+ applicable commercial licensing document.
71
+
72
+ ## 5. Paid Commercial License
73
+
74
+ Above 100,000 enabled Agent Accounts, a licensee must obtain a Paid Commercial
75
+ License to continue on the proprietary path. Pricing may use account counts or
76
+ tiers, annual subscription, perpetual license plus maintenance, enterprise
77
+ licensing, or another metric agreed in an order. The signed order, quote, or
78
+ contract controls pricing, payment, term, and capacity.
79
+
80
+ A user may instead move the relevant use entirely to AGPLv3, provided it can
81
+ and does comply fully with AGPLv3.
82
+
83
+ ## 6. Agent Account definition
84
+
85
+ An **Agent Account** is an account or identity capable of acting as a distinct
86
+ logical agent through AWiki CLI S2 or a system built using it. An account
87
+ counts if it can do one or more of the following independently:
88
+
89
+ 1. authenticate;
90
+ 2. be addressed by a user, agent, or system;
91
+ 3. send or receive messages;
92
+ 4. maintain a mailbox, inbox, or message queue;
93
+ 5. hold a key, credential, DID, Handle, or permission set;
94
+ 6. invoke a service or perform tasks;
95
+ 7. maintain business state, session state, permissions, or long-term memory;
96
+ or
97
+ 8. act for a distinct user, device, organization, or business principal.
98
+
99
+ Logical agents count separately even if they share a database account, API
100
+ key, connection, server, or technical account, if they can be addressed or
101
+ authorized independently, perform tasks independently, or maintain separate
102
+ state. An alias, display name, or routing address for the same agent does not
103
+ count again if it has no separate identity, permissions, or state.
104
+
105
+ ## 7. Counting scope
106
+
107
+ The licensee must aggregate all enabled Agent Accounts operated, managed, or
108
+ served by the licensee and its Affiliates across all production environments,
109
+ tenants, regions, data centers, servers, clusters, products, business lines,
110
+ cloud and private deployments, accounts operated for customers, and accounts
111
+ customers create through the licensee's products.
112
+
113
+ The threshold may not be avoided by splitting companies, Affiliates, tenants,
114
+ servers, deployments, contracts, products, or technical accounts. Unless the
115
+ agreement states otherwise, the monthly count is the highest aggregate number
116
+ enabled at any time during that calendar month.
117
+
118
+ An **Affiliate** directly or indirectly controls, is controlled by, or is under
119
+ common control with the licensee. **Control** means ownership of more than 50
120
+ percent of voting interests or the power to direct management.
121
+
122
+ ## 8. Development and test accounts
123
+
124
+ A development or test account is excluded only when it is used solely for
125
+ internal development, automated testing, or quality assurance; is reasonably
126
+ isolated from production; serves no real customer; processes no production
127
+ business; retains no long-lived production state; and is not used to avoid the
128
+ threshold. It counts as soon as it is used for a real user, customer,
129
+ production service, or production data.
130
+
131
+ ## 9. Exceeding the free threshold
132
+
133
+ After first exceeding 100,000 enabled Agent Accounts, the licensee must notify
134
+ the Licensor within ten business days. It then has 30 calendar days to:
135
+
136
+ 1. obtain a Paid Commercial License;
137
+ 2. purchase AWiki Commercial Services that include the required license;
138
+ 3. reduce the count to 100,000 or fewer;
139
+ 4. stop proprietary use; or
140
+ 5. move entirely to AGPLv3 and comply fully with it.
141
+
142
+ After that period, a licensee still above the threshold may not continue
143
+ proprietary use in reliance on the Free Commercial License.
144
+
145
+ ## 10. Commercial Services
146
+
147
+ The Licensor may offer hosting, private deployment, support, service levels,
148
+ security maintenance, custom development, integration, operations, or upgrade
149
+ services. A commercial license may be included in the service fee; its scope
150
+ is controlled by the applicable order or services agreement.
151
+
152
+ A user at or below 100,000 Agent Accounts may apply for the base Free
153
+ Commercial License whether or not it buys services. Service fees pay primarily
154
+ for services and do not reduce rights already granted in an accepted license.
155
+
156
+ ## 11. Distribution, OEM, and white-label use
157
+
158
+ Subject to an accepted Free Commercial License, a licensee at or below the
159
+ threshold may integrate AWiki CLI S2 into a proprietary product for OEM,
160
+ white-label, or customer delivery without a base license fee. Relevant Agent
161
+ Accounts operated, managed, or served by the licensee and its customers are
162
+ aggregated. Trademark, branding, certification, and joint-marketing rights
163
+ require separate written authorization.
164
+
165
+ ## 12. Third-party components
166
+
167
+ Third-party components remain subject to their own licenses. An AWiki
168
+ Commercial License does not change them or grant rights the Licensor lacks.
169
+ Each user is responsible for complying with all applicable third-party terms.
170
+
171
+ ## 13. External contributions
172
+
173
+ External contributions are not accepted unless the Licensor approves them in
174
+ writing. Before an approved contribution may be merged, the contributor must
175
+ sign or accept the contributor agreement designated by the Licensor, granting
176
+ sufficient open-source, proprietary licensing, patent, and sublicensing
177
+ rights. Accepted contributions may appear in AGPLv3 releases, free and paid
178
+ commercial releases, and AWiki Commercial Services.
179
+
180
+ ## 14. Trademarks
181
+
182
+ No license automatically grants permission to use AWiki, AgentConnect, AWiki
183
+ CLI S2, or related trademarks, product names, domains, or logos. Truthful,
184
+ reasonable origin or compatibility statements are permitted, but users may
185
+ not imply official certification, sponsorship, or endorsement.
186
+
187
+ ## 15. Examples
188
+
189
+ | Scenario | Available path |
190
+ | --- | --- |
191
+ | 50,000 Agent Accounts; AGPLv3 accepted | Free under AGPLv3; no commercial license required. |
192
+ | 50,000 Agent Accounts; proprietary use | An accepted Free Commercial License is required; base fee is zero. |
193
+ | 200,000 Agent Accounts; AGPLv3 accepted | Free under AGPLv3; no commercial license fee. |
194
+ | 200,000 Agent Accounts; proprietary use | A Paid Commercial License or services including it are required. |
195
+ | 50,000 Agent Accounts plus official hosting | The base license may be free; service fees still apply. |
196
+
197
+ > **AWiki CLI S2 is free without usage limits under AGPLv3. For proprietary or
198
+ > closed-source use, a commercial license is required, with no base license fee
199
+ > for deployments of up to 100,000 Agent Accounts.**
200
+
201
+ ## 16. Documents and precedence
202
+
203
+ The paths are independent. For a commercial licensee, a formally signed
204
+ contract or order controls over the Commercial License Agreement to the extent
205
+ it expressly conflicts. For an AGPLv3 user, AGPLv3 controls. This policy is
206
+ explanatory and modifies neither license. README files, websites, and marketing
207
+ materials do not modify the applicable license or agreement.
208
+
209
+ ## 17. Licensing transition
210
+
211
+ Releases through `cli-v1.0.41` were published under Apache License 2.0 and
212
+ remain under the rights already granted. AGPLv3 applies beginning with the
213
+ commit that introduces the AGPLv3 `LICENSE` and to later releases unless a
214
+ release expressly states otherwise. Existing Apache-licensed versions cannot
215
+ be retroactively withdrawn. The prior Apache License text is retained at
216
+ [`LICENSES/Apache-2.0.txt`](LICENSES/Apache-2.0.txt) for historical releases
217
+ and any portions for which its notices must be preserved.
