+NOTICE TO USERS
+This License is “source-available”. It allows broad use, modification, and redistribution,
+but requires a paid subscription for Organizations with 1,000+ Employees that Use the
+Software. If you do not agree to these terms, do not Use the Software.
+
+1) DEFINITIONS
+
+1.1 “Affiliate” means any entity that directly or indirectly Controls, is Controlled by, or is
+under common Control with an entity. “Control” means ownership of more than 50% of the
+voting securities or the ability to direct management.
+
+1.2 “Employee” means an individual working for an entity as an employee (full-time or part-time).
+For counting purposes in Section 4, independent contractors who work primarily for the entity
+may be treated as Employees if your local law treats them similarly for headcount or compliance
+purposes. You may choose a consistent approach, but you must apply it in good faith.
+
+1.3 “Organization” means a legal entity (including its Affiliates, where relevant) that Uses the
+Software.
+
+1.4 “Organization Employee Count” means the total number of Employees of the Organization and
+its Affiliates worldwide, measured on the first day of each calendar month (or, if unknown, a
+reasonable good-faith estimate based on the most recent official HR headcount).
+
+1.5 “Software” means the software and all associated documentation files made available under
+this License, including any updates provided by the Licensor.
+
+1.6 “Source Code” means the preferred form for making modifications, including build scripts and
+interface definition files.
+
+1.7 “Use” (or “Using”) means to install, execute, run, host, deploy, operate, access, or otherwise
+use the Software or any Derivative Work, including making the Software’s functionality available
+to others over a network (including internal networks).
+
+1.8 “User Seat” (or “Seat”) means one natural person (an Employee or contractor) who directly
+accesses or operates the Software (or a Derivative Work) for the benefit of an Organization
+during a calendar month, whether through a user interface, CLI, API, automation, or other
+means. A single person counts as one Seat regardless of how many devices they use. Shared
+credentials must be treated as the number of natural persons who used them.
+
+1.9 “Active Seat Count” means the number of Seats for an Organization for a given calendar month.
+
+1.10 “Derivative Work” means any work based on the Software, such as a modification, adaptation,
+translation, or work that incorporates the Software or a substantial portion of it, as defined by
+applicable copyright law.
+
+1.11 “Licensor” means the copyright holder(s) of the Software, identified above as “EvKoh”.
+
+2) GRANT OF RIGHTS (COPYRIGHT)
+
+Subject to your continued compliance with this License, the Licensor grants you a worldwide,
+non-exclusive, non-transferable, royalty-free (except as expressly provided in Section 4),
+copyright license to:
+
+(a) use the Software;
+(b) copy and reproduce the Software;
+(c) modify the Software and create Derivative Works;
+(d) distribute the Software and Derivative Works, in Source Code or object code form.
+
+3) PATENT GRANT
+
+Subject to your continued compliance with this License, the Licensor grants you a worldwide,
+non-exclusive, non-transferable, royalty-free (except as expressly provided in Section 4),
+patent license under patent claims that the Licensor can license, to make, have made, use,
+offer to sell, sell, import, and otherwise transfer the Software, where such license applies only
+to those patent claims that are necessarily infringed by the Software as provided by the Licensor.
+
+Patent Retaliation: If you (or any Affiliate) initiate patent litigation alleging that the Software
+or a contribution to the Software infringes a patent, then any patent licenses granted to you
+under this License for the Software terminate as of the date such litigation is filed.
+
+4) COMPANY-SIZE THRESHOLD & FEES (TRUST-BASED)
+
+4.1 Free Use Eligibility (Organizations under 1,000 Employees)
+If your Organization Employee Count is fewer than 1,000, you may Use the Software without
+payment under this License.
+
+4.2 Paid Use Requirement (Organizations with 1,000+ Employees)
+If your Organization Employee Count is 1,000 or more, then your Organization may Use the
+Software only if it maintains an active paid subscription as described in Section 4.3.
+
+4.3 Pricing
+For Organizations subject to Section 4.2, the subscription fee is:
+EUR €5 (five euros) per month, per Seat, calculated based on the Active Seat Count for each
+calendar month, plus any applicable taxes (including VAT) and bank/payment fees.
+
+Important: The fee is per Employee/contractor who Uses the Software (a Seat), not per total
+headcount. This system is based on good faith and trust.
+
+4.4 When Payment Starts
+If you are subject to Section 4.2, you must begin paid use no later than the earlier of:
+(a) 30 days after first Use by your Organization; or
+(b) the start of the second calendar month in which your Organization Uses the Software.
+
+During the initial 30-day period, you may evaluate and begin internal deployment while arranging
+payment, provided you act in good faith to comply.
+
+4.5 How to Pay / Contact
+To set up payment, request an invoice, or obtain a commercial agreement, contact:

+Payment method (bank transfer, card, etc.) and invoicing terms may be agreed in writing between
+you and the Licensor. If no separate written terms are agreed, default terms apply:
+- Billing: monthly in arrears based on your reported Active Seat Count.
+- Due date: 30 days from invoice date.
+- Currency: EUR.
+
+4.6 Reporting (Self-Declaration)
+Organizations subject to Section 4.2 must provide, in good faith, a monthly self-declaration to
+the Licensor upon request (or as otherwise agreed) stating:
+(a) Organization name and legal entity details;
+(b) Organization Employee Count;
+(c) Active Seat Count for the month; and
+(d) any material changes to how Seats are counted (must remain consistent and in good faith).
+
+4.7 No Automated Controls
+The Software does not include (and the Licensor does not require) automated technical controls
+or telemetry for enforcing Seat counts. Compliance relies on your honest reporting.
+
+4.8 Good Faith and Legal Enforcement
+If there is a reasonable doubt about compliance, the Licensor may request clarification,
+supporting records, or pursue verification and enforcement through lawful means (including
+civil remedies) as permitted by applicable law. Nothing in this License limits any party’s rights
+under applicable law or the authority of competent courts/authorities to order disclosure of
+relevant records in a legal proceeding.
+
+5) CONDITIONS FOR REDISTRIBUTION
+
+If you distribute the Software or a Derivative Work, you must:
+
+(a) provide recipients a copy of this License;
+(b) retain the copyright notice and this license notice in all copies or substantial portions;
+(c) clearly mark any modified files; and
+(d) not misrepresent the origin of the Software.
+
+You may distribute under this License only. You may not relicense the Software or Derivative
+Works under different terms, except with the Licensor’s prior written permission.
+
+6) RECORDS AND VERIFICATION
+
+6.1 Recordkeeping
+If you are subject to Section 4.2, you must keep reasonable internal records sufficient to
+support your Seat counts and compliance for at least 24 months.
+
+6.2 Verification Request
+No more than once per 12-month period, the Licensor may request that you provide a reasonable
+summary of records supporting your Active Seat Count (for example: a list of users with access,
+audit logs, or equivalent evidence), with personal data minimized to what is necessary and
+handled in compliance with applicable privacy law.
+
+6.3 Independent Audit (Optional)
+If a material discrepancy is reasonably suspected and cannot be resolved informally, the Licensor
+may request an independent audit by a mutually agreed auditor, under reasonable confidentiality
+terms, with at least 15 days’ prior notice. Unless otherwise required by law:
+- the Licensor pays audit costs if the discrepancy is less than or equal to 5% for the audited period;
+- you pay audit costs if the discrepancy exceeds 5% or reveals intentional under-reporting.
+
+Refusal to cooperate with a lawful verification process after reasonable notice may be treated as
+a material breach.
+
+7) TRADEMARKS
+
+This License does not grant any rights in the Licensor’s trademarks, logos, or brand features.
+You may not use the Licensor’s trademarks except as necessary for reasonable and customary
+attribution. You must not imply endorsement by the Licensor.
+
+8) CONTRIBUTIONS
+
+If you submit code, documentation, or other material to the Licensor for inclusion in the Software
+(“Contribution”), you grant the Licensor a worldwide, perpetual, irrevocable, royalty-free,
+non-exclusive license to use, reproduce, modify, distribute, and sublicense your Contribution as
+part of the Software under this License and/or under other licensing terms chosen by the Licensor.
+
+You represent that you have the legal right to provide the Contribution.
+
+9) TERMINATION
+
+9.1 Automatic Termination
+Your rights under this License terminate automatically if you breach any term of this License.
+
+9.2 Cure and Reinstatement
+If the Licensor notifies you of a breach, and you cure the breach within 30 days of receiving
+notice (including payment of undisputed amounts due), your rights under this License are
+reinstated retroactively, unless the breach is repeated or intentional.
+
+9.3 Effect of Termination
+Upon termination, you must immediately cease all Use and distribution of the Software and any
+Derivative Works, and delete all copies in your possession or control, except copies required to
+be retained by law. Sections intended to survive termination (including Sections 6, 7, 8, 10, 11,
+and 12) survive.
+
+10) DISCLAIMER OF WARRANTY
+
+THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND,
+EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,
+FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU BEAR THE RISK
+OF USING THE SOFTWARE.
+
+11) LIMITATION OF LIABILITY
+
+TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR
+ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
+(INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF
+SUBSTITUTE GOODS OR SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR
+THIS LICENSE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF

+12) MISCELLANEOUS
+
+12.1 Governing Law and Venue
+This License is governed by the laws of France, excluding conflict-of-law
+rules. The parties agree that the competent courts of France have exclusive jurisdiction, unless
+applicable law requires otherwise.

+12.2 Severability
+If any provision of this License is held unenforceable, the remainder remains in effect, and the
+unenforceable provision is reformed to the minimum extent necessary to make it enforceable.
+
+12.3 No Waiver
+A failure to enforce any provision is not a waiver of that provision.
+
+12.4 Assignment
+You may not assign or transfer this License or any rights under it without the Licensor’s prior
+written consent. The Licensor may assign this License as part of a merger, acquisition, or sale of
+substantially all related assets.

+12.5 Entire Agreement
+This License is the entire agreement regarding the Software, unless you and the Licensor enter
+into a separate written commercial agreement (which may supplement or supersede parts of this
+License for you).
